These Terms of Service ("Terms") govern your use of the Digi7s website and all digital services provided by Digi7s ("we", "us", or "our"). By engaging Digi7s for any service, or by using our website, you agree to be bound by these Terms.

Acceptance of Terms
By requesting a quote, signing a project agreement, making a payment, or otherwise engaging Digi7s for services, you confirm that you have read, understood, and agree to these Terms of Service and our Privacy Policy.
If you are entering into these Terms on behalf of a company or other legal entity, you represent that you have the authority to bind that entity to these Terms.
We reserve the right to update these Terms at any time. Material changes will be communicated to active clients. Continued engagement with our services following any update constitutes acceptance of the revised Terms.
Services & Scope
Digi7s provides the following categories of digital services to businesses in the UAE and internationally:
- Website design and development (WordPress, Next.js, custom)
- Mobile application development (iOS, Android, React Native)
- AI chatbot development and automation
- Cloud solutions, migration, and managed infrastructure
- Cybersecurity assessments, penetration testing, and compliance
- Digital marketing, SEO, and paid advertising
- AI SaaS product development
- Branding, graphic design, and identity systems
The specific scope, deliverables, timeline, and pricing for each engagement are defined in a project-specific Statement of Work (SOW), project agreement, or proposal document. In the event of any conflict between these Terms and a specific project agreement, the project agreement shall prevail.
Client Obligations
To enable Digi7s to deliver services effectively and on time, the client agrees to:
- Provide timely access to all materials, information, accounts, and assets required for the project
- Designate a primary point of contact who has authority to approve deliverables and make decisions
- Provide feedback and approvals within the agreed timeframes (typically 5 business days unless otherwise agreed)
- Ensure all content, images, logos, and other materials provided to Digi7s are owned by the client or that the client has appropriate licences to use them
- Make payments in accordance with the agreed payment schedule
- Not request Digi7s to produce any content or functionality that infringes third-party intellectual property rights, violates UAE law, or is misleading or fraudulent
Delays caused by the client, including late feedback, unavailability of required materials, or delayed approvals, may result in revised project timelines at no additional cost to the client for the delay itself, but may affect agreed launch dates.
Payment Terms
Deposit & Milestone Payments
All projects require a non-refundable deposit before work commences. The deposit amount and subsequent milestone payments are specified in the project agreement. Typical payment structures are:

Payment schedules for ongoing services (retainers, SEO, managed hosting) are specified in the relevant service agreement and are typically invoiced monthly in advance.
Currency & Methods
All prices are quoted in UAE Dirhams (AED) unless explicitly stated otherwise. We accept payment by bank transfer, credit card, and other methods as agreed. All bank charges incurred in the transfer of funds are the responsibility of the client.
Late Payments
Invoices are due within 7 calendar days of issue unless otherwise agreed. Invoices unpaid after 14 days may incur a late payment charge of 2% per month on the outstanding balance. Digi7s reserves the right to suspend services for accounts with outstanding overdue invoices.
Disputed Invoices
If you believe an invoice is incorrect, you must notify us in writing within 5 business days of receipt. Undisputed portions of invoices remain due and payable.
Timelines & Delivery
Project timelines are agreed at the commencement of each project and are contingent on the timely provision of materials and feedback by the client. Digi7s will use reasonable efforts to meet agreed deadlines.
Digi7s is not liable for delays caused by:
- Late or incomplete provision of required materials by the client
- Requests for changes outside the original agreed scope
- Delays in third-party services or platforms outside our control (e.g. App Store review times, domain registrar processing, payment gateway approvals)
- Force majeure events including natural disasters, pandemics, or government actions
Where a client-caused delay extends beyond 30 days, Digi7s may reschedule the project and any remaining deposit or payments may be forfeited.
Revisions & Changes
Each project agreement specifies an included number of revision rounds. Revisions are defined as changes within the original agreed scope and brief.
The following are not considered included revisions and will be quoted separately:
- Changes to the project brief, concept, or agreed direction after design approval
- Addition of new features, pages, or functionality not in the original scope
- Changes requested after final delivery and sign-off
- Revisions beyond the agreed number of rounds
Additional revision work is charged at our standard hourly rate of AED 350–500 per hour depending on the service type, or as separately quoted.
Intellectual Property
Client Ownership Upon Full Payment
Upon receipt of full and final payment for a project, Digi7s assigns to the client all intellectual property rights in the final deliverables created specifically for that project. This includes design files, code, and written content produced by Digi7s as part of the project.
Digi7s Retained Rights
Digi7s retains ownership of:
- All preliminary concepts, drafts, and designs not included in the final deliverables
- Proprietary frameworks, tools, libraries, and methodologies developed independently by Digi7s and used in the project
- General knowledge, skills, and techniques developed in the course of working on the project
- Third-party assets (fonts, stock images, plugins, themes, or software) which remain subject to their respective licence terms
Client-Provided Content
The client warrants that all content, images, logos, trademarks, and other materials provided to Digi7s are owned by the client or that the client has obtained all necessary licences and permissions. The client indemnifies Digi7s against any third-party claims arising from use of client-provided content.
Work in Progress
Until full payment is received, all work remains the property of Digi7s. Digi7s may recover or disable access to any deliverables in the event of non-payment.
Confidentiality
Both parties agree to keep confidential any proprietary, technical, business, financial, or other information disclosed by the other party in connection with a project ("Confidential Information").
Confidential Information does not include information that:
- Is or becomes publicly available without breach of this obligation
- Was already known to the receiving party before disclosure
- Is independently developed by the receiving party without reference to the Confidential Information
- Is required to be disclosed by law or regulation
This confidentiality obligation survives project completion and termination of any agreement for a period of 3 years.
Digi7s will not disclose client information to third parties except as necessary to deliver the agreed services (e.g. sharing access credentials with a sub-contractor under equivalent confidentiality terms).
Warranties
Digi7s Warranties
Digi7s warrants that:
- Services will be performed with reasonable skill and care by qualified professionals
- Deliverables will materially conform to the agreed specifications at the time of delivery
- We will promptly address any material defects in deliverables reported within 30 days of final delivery, at no additional charge, provided the defects are not caused by client modifications
Disclaimer
Except as expressly stated above, all services and deliverables are provided "as is." Digi7s does not warrant that websites or applications will be error-free, uninterrupted, or free from security vulnerabilities at all times after delivery. We do not guarantee specific outcomes from digital marketing campaigns, SEO services, or app store performance.
Limitation of Liability
To the fullest extent permitted by UAE law:
- Digi7s total liability to the client arising from or in connection with any project or engagement shall not exceed the total fees paid by the client for the specific service giving rise to the claim in the 12 months preceding the claim
- Digi7s is not liable for any indirect, incidental, special, consequential, or punitive damages, including loss of revenue, loss of profits, loss of data, or loss of business opportunities, even if we have been advised of the possibility of such damages
- Digi7s is not liable for any delays, failures, or losses caused by circumstances beyond our reasonable control
- Digi7s is not liable for the actions, content, or data of third parties or for third-party services integrated into deliverables
Nothing in these Terms excludes or limits Digi7s liability for fraud, wilful misconduct, or any liability that cannot be excluded by law.
Termination
Termination by Client
The client may terminate a project at any time by written notice. Upon termination:
- All work completed to date becomes billable and the client will be invoiced for work performed up to the termination date
- The initial deposit is non-refundable in all circumstances
- Any unpaid balance for work completed must be settled within 14 days
- Digi7s will deliver all completed work product upon receipt of final payment
Termination by Digi7s
Digi7s may terminate a project or engagement with 14 days written notice if:
- The client fails to make a payment when due and does not remedy the default within 7 days of written notice
- The client materially breaches these Terms or the project agreement
- The client requests work that would be illegal, fraudulent, or in violation of third-party rights
- The project has been inactive for more than 60 days due to client inaction
Upon termination by Digi7s for client default, all outstanding payments become immediately due and payable.
Portfolio Rights
Unless the client expressly requests otherwise in writing prior to project commencement, Digi7s retains the right to:
- Display completed work in our portfolio, website, and marketing materials
- Reference the client and project in case studies and proposals
- Identify the client as a Digi7s client on our website
We will never share confidential business information, internal project details, or proprietary client data in any public-facing material. If you require full confidentiality regarding our working relationship, please notify us in writing before the project begins and we will accommodate this request.
Governing Law & Disputes
These Terms of Service and any disputes arising from or in connection with them are governed by the laws of the United Arab Emirates, specifically the laws of the Emirate of Dubai.
The parties agree to first attempt to resolve any dispute informally by negotiation in good faith. If a dispute cannot be resolved within 30 days of written notice, it shall be submitted to the exclusive jurisdiction of the courts of Dubai, UAE.
For clients located outside the UAE, you acknowledge that UAE law governs this agreement and that you submit to the non-exclusive jurisdiction of the Dubai courts for any dispute resolution.
